THIS END-USER LICENSE AGREEMENT ("AGREEMENT") IS BETWEEN YOU AND EMONSTER, INC. ("EMONSTER") AND GOVERNS YOUR USE OF THE TAGFX APPLICATION (THE "SOFTWARE"). BY INSTALLING OR USING THE SOFTWARE, YOU AGREE TO THIS AGREEMENT, TOGETHER WITH EMONSTER'S TERMS OF USE AND PRIVACY POLICY, EACH INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE AND UNINSTALL IT FROM ANY DEVICE YOU OWN OR CONTROL.
1. License Grant. Subject to your compliance with this Agreement and the App Store Terms of Service, emonster grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software, in object-code form only, on an iPhone that you own or control, solely for your personal, non-commercial use.
2. Restrictions. Except as expressly permitted by this Agreement or applicable law, you may not: (a) copy, modify, adapt, translate, or create derivative works based on the Software; (b) reverse engineer, decompile, disassemble, or attempt to derive source code or internal structure from the Software; (c) rent, lease, lend, sell, sublicense, distribute, transfer, or make the Software available to a third party; (d) use the Software for a commercial service bureau or hosted service; (e) circumvent, disable, or interfere with security-related features; or (f) use the Software in violation of law or third-party rights.
3. Eligibility. You must be at least thirteen (13) years old, or the minimum age required in your jurisdiction, whichever is greater, to use the Software. If you are under the age of majority, you may use the Software only with consent and supervision of a parent or legal guardian.
4. Ownership. The Software is licensed, not sold. emonster and its licensors own all rights, title, and interest in and to the Software, including copyrights, trademarks, trade secrets, patents, user interface design, icons, graphics, text, and other materials. emonster reserves all rights not expressly granted to you.
5. Feedback. If you provide suggestions, ideas, bug reports, or other feedback about the Software ("Feedback"), you grant emonster a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, copy, modify, distribute, display, perform, and otherwise exploit the Feedback without compensation to you.
6. Privacy. Price Tag FX is designed to process camera frames and OCR on the device and to avoid cloud OCR, cloud translation, third-party display-ad SDKs, accounts, and app-created scan history in the current version. The Software may use Firebase Analytics and Firebase Crashlytics for app analytics, crash reporting, non-fatal error diagnostics, and reliability monitoring as described in emonster's Privacy Policy. Your use of the Software is also governed by emonster's Privacy Policy.
7. Exchange Rates and OCR Results. The Software may display OCR results, price-label interpretations, translated price terms, and approximate currency conversions. These outputs may be inaccurate, incomplete, delayed, unavailable, cached, or misinterpreted. Exchange rates may come from Frankfurter or another configured third-party provider and may differ from rates used by banks, card issuers, payment processors, stores, or exchange providers. You are responsible for verifying prices, taxes, discounts, membership conditions, and transaction amounts before making decisions.
8. No Professional Advice. The Software does not provide financial, investment, tax, accounting, legal, shopping, or currency-exchange advice. The Software is a convenience utility and should not be used as the sole basis for purchases, transactions, travel budgets, or financial decisions.
9. No Warranty. THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMONSTER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS DISCLAIM ALL WARRANTIES, REPRESENTATIONS, GUARANTEES, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT. EMONSTER DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMONSTER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT. EMONSTER'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID, IF ANY, TO EMONSTER FOR THE SOFTWARE DURING THE THIRTY (30) DAYS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification. You agree to indemnify, defend, and hold harmless emonster and its affiliates, officers, employees, agents, partners, and licensors from claims, liabilities, damages, losses, costs, and expenses arising out of or related to your use of the Software, your violation of this Agreement, your violation of applicable law, or your violation of third-party rights.
12. Termination. This Agreement is effective when you first install or use the Software and continues until terminated. Your rights under this Agreement terminate automatically if you fail to comply with any term. Upon termination, you must stop using the Software and delete all copies from your devices. Sections that by their nature should survive termination will survive.
13. Third-Party Content and Services. The Software may display, include, or access third-party content, data, services, or websites, including exchange-rate data, Apple services, and Firebase / Google services. emonster does not control and is not responsible for third-party content, data, services, availability, terms, or privacy practices.
14. Changes to the Software. emonster may modify, update, suspend, or discontinue the Software or any part of it at any time, with or without notice or liability. emonster is not obligated to provide maintenance, support, updates, or continued availability except to the extent required by applicable law or App Store terms.
15. Copyright Infringement Notice. emonster, not Apple, is responsible for investigating, defending, settling, and discharging any claim that the Software or your use of it infringes intellectual-property rights. If you believe content in the Software infringes your copyright, contact us at support@emonster.com.
16. Export and Legal Compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with applicable export-control and trade-sanctions laws.
17. Apple Terms and Third-Party Beneficiary. This Agreement is between you and emonster, not Apple Inc. ("Apple"). Apple is not responsible for the Software or its content and has no obligation to provide maintenance or support. To the extent any warranty obligation cannot be disclaimed, emonster, not Apple, is responsible. Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.
18. Governing Law and Venue. This Agreement and your relationship with emonster are governed by the laws of the State of Washington, U.S.A., without regard to conflict-of-law principles. Legal proceedings relating to this Agreement or the Software will be brought exclusively in the state or federal courts located in King County, Washington, unless applicable law requires otherwise.
19. General. If any provision is found invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in effect. You may not assign this Agreement without our prior written consent. The failure to enforce a provision is not a waiver. This Agreement, together with the Terms of Use, Privacy Policy, and applicable App Store terms, is the agreement between you and emonster for the Software.
